1. About these terms

Unium is a product of Uncertainty Works Ltd., a company registered in England and Wales (Company No. 17169253) with its registered office at 124-128 City Road, London, United Kingdom, EC1V 2NX. In these terms, "Unium", "we", "us", and "our" refer to Uncertainty Works Ltd.

These terms apply when Unium is used for a business or other organisation. If you create or manage an account for an organisation, you confirm that you have authority to accept these terms for it. "You" means that organisation and its authorised users.

2. The service

Unium for Business is a web-based, multi-model AI workspace. It can include private and shared chats, projects, shared credit wallets, and account administration features.

Unium is in beta. Features, models, providers, limits, prices, and availability may change. The service may sometimes be unavailable or behave unexpectedly.

You are responsible for your account, the users you invite, their permissions and usage, and keeping sign-in details secure.

3. Pay-as-you-go credits

Business use is paid for with prepaid credits. Credit products, prices, purchase limits, and included amounts are those shown at checkout from time to time.

Credits are units of access to Unium. They are not money, cannot be exchanged for cash, and cannot be transferred to another account or wallet. Usage depends on the model, provider, tools, and other costs involved, so credits do not guarantee a fixed number of messages or outputs.

Credits expire 365 days after the most recent top-up to their wallet. A new top-up refreshes the expiry date of the wallet's unused credits unless the product says otherwise.

Authorised users may spend credits from a shared wallet. You are responsible for deciding who has access and for setting any available roles or limits.

4. Billing, taxes, and refunds

Paddle sells and bills web credit purchases as merchant of record. Paddle handles checkout, receipts, invoices, taxes, and refunds under its Buyer Terms and policies.

Payments are generally non-refundable except where required by law or allowed by Paddle's refund policy. Asking for a refund does not guarantee that one will be issued. Paddle may consider how much of the purchase has already been used and may approve a full or partial refund or refuse the request. If a refund is issued, we may remove the corresponding unused credits from the wallet.

5. Acceptable use

You and your users must not use Unium to:

  • break the law, infringe rights, or cause harm;
  • exploit or endanger minors;
  • harass, defame, defraud, impersonate, or incite violence;
  • interfere with the service, bypass its limits, scrape it, reverse engineer it, or use it to build a competing AI service; or
  • breach the usage rules of an AI provider made available through Unium.

We may restrict or suspend access where reasonably necessary to address abuse, fraud, security, legal risk, or a breach of these terms.

6. Your content and shared work

You keep ownership of content submitted to Unium. You give us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, and display it only as needed to provide and improve Unium.

Content in a shared chat or project is visible to users with access to it. You are responsible for access decisions, user activity, and ensuring you have the right to submit and share content. We do not use conversations to train AI models. Our Privacy Policy explains how we handle information.

7. AI outputs and third parties

AI outputs may be inaccurate, incomplete, or inappropriate. They are not professional advice and should not be relied on for legal, medical, financial, safety, or other important decisions. You are responsible for checking outputs before using them.

AI models and some other features are supplied by third parties. Their terms and usage rules may also apply. Models and providers can change or become unavailable without notice.

8. Availability and security

We provide Unium on a best-effort, "as is" and "as available" basis. Unless separately agreed in writing, there is no service-level agreement or promise of uninterrupted service, any particular model, feature, result, or level of availability.

We take reasonable steps to protect the service, but no online service is completely secure. You are responsible for appropriate user access, security controls, and copies of anything you cannot afford to lose.

9. Liability

Nothing in these terms excludes liability that cannot legally be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

To the maximum extent allowed by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, data, or goodwill. Our total liability connected with Unium is limited to the greater of the amount paid for credits associated with your account in the 12 months before the event giving rise to the claim or USD 50.

You will reimburse us for reasonable losses and costs caused by your or your users' unlawful use of Unium, infringement of another person's rights, or material breach of these terms.

10. Suspension, closure, and unused credits

You can stop using Unium and close the account at any time. Account closure does not itself create a right to a refund. Unless law or Paddle's rules require otherwise, unused credits remain subject to their normal expiry and are not redeemable for cash.

We may suspend or close an account for a material breach, fraud or abuse, security or legal risk, or where required by law. Where practical, we will give notice and a chance to fix the issue first.

11. Changes to these terms

We may update these terms as the product changes. We will update the date above and give reasonable notice of material changes. If you do not accept an update, you should stop using Unium before it takes effect.

12. Governing law

These terms are governed by the laws of England and Wales, and its courts have non-exclusive jurisdiction.

13. General

If part of these terms cannot be enforced, the rest remains in effect. A delay in enforcing a right is not a waiver. You may not transfer these terms without our consent. We may transfer them as part of a sale, merger, or reorganisation. These terms, our Privacy Policy, and any purchase terms shown at checkout form the agreement between you and us for Unium.
