1. Introduction
Welcome to Unium. Unium is a product of Uncertainty Works Ltd., a company registered in England and Wales (Company No. 17169253) with its registered office at 124-128 City Road, London, United Kingdom, EC1V 2NX. In these terms, "Unium", "we", "us", and "our" refer to Uncertainty Works Ltd. "You" and "your" refer to the person using the service.
By creating an account or otherwise using Unium, you agree to these Terms of Service.
2. Eligibility
You must be at least 16 years old, or the minimum age required in your country of residence (whichever is higher), and have the legal capacity to enter into a binding contract to use Unium. By using the service, you confirm that you meet these requirements.
3. Beta status
Unium is currently a beta service. This means:
- Features can change, break, or be withdrawn with little or no notice.
- Outages, errors, and unexpected behaviour can occur.
- In rare cases, credits or other account state can be lost despite our reasonable efforts to prevent it.
We take all reasonable precautions to operate the service reliably, but we deliberately do not make stability or fitness-for-purpose promises beyond best effort during beta. By using Unium during this period you accept that risk.
4. Your account and security
You are responsible for your account credentials and for activity that takes place on your account. Keep your password and authentication factors confidential, do not share them, and notify us promptly if you suspect your account has been compromised. We are not liable for losses caused by credentials that have been shared, reused, or otherwise exposed by you.
5. The service
Unium is a multi-model chat workspace that lets you route prompts to AI models offered by third parties (including OpenAI, Anthropic, Google, Meta, Mistral, xAI, Deepseek, and others), with features such as wallets and shared chats described in product.
On supported devices, Unium also offers on-device chats that run a local model on your device. Messages in an on-device chat are processed locally and are not sent to us or to any third-party AI provider, except that, if you enable web search in an on-device chat, the search query is sent through our backend to perform that search. On-device chats are stored only on the device that created them and are not synced to our servers, so they are not covered by the cloud chat features (such as sharing and cross-device sync) described elsewhere in these terms.
6. Pay-as-you-go pricing
All sales are processed by Paddle.com Market Ltd. ("Paddle"), which acts as the merchant of record for Unium. Paddle handles checkout, payment, invoicing, and the collection and remittance of any applicable taxes (such as VAT or sales tax) based on your location. The contract for the sale of credits is between you and Paddle. The contract for using Unium itself is between you and Uncertainty Works Ltd. You should review Paddle's own buyer terms when purchasing.
- Credit packs. Credits are sold in fixed packs that we make available from time to time. The contents, pricing, and availability of credit packs can change without notice; the packs offered at checkout are the only ones available at that moment.
- Minimum top-up. USD 10 per transaction.
- Maximum top-up. USD 50 per transaction.
- Wallet balance cap. 6,000 credits per wallet. Top-ups that would push a wallet above this cap are blocked at checkout. The cap may be raised in future.
7. Credits
Credits are a prepaid unit of access to the Unium service. They are not money, not a financial instrument, not redeemable for cash, and not transferable to another wallet or account.
Credits do not have a fixed real-world value. The number of credits consumed by a given message depends on, among other things:
- the AI model you have selected,
- the inference provider routing that model at that moment,
- third-party model and inference pricing, which can change at any time and without notice to us,
- transaction fees and taxes that Paddle has applied to your purchase,
- our own operating margin for providing the service.
Any of these components can and will change over time. We do not warrant or guarantee any specific number of messages, tokens, or any other output volume per credit. Any usage estimates shown in product are best-effort projections, not commitments.
8. Credit expiry
Credits expire 365 days after the most recent top-up made to the wallet that holds them. Any new top-up to a wallet refreshes the expiry on every unspent credit in that wallet, including credits purchased in earlier top-ups. Expired credits cannot be used.
9. Wallets and shared access
A Unium wallet holds the credits used to pay for messages. Wallets can be accessed by more than one user, for example to share credits with family, friends, or coworkers.
- Anyone with access to a wallet can spend its credits and can top it up.
- You are responsible for deciding who you grant access to. If a user you have authorised to access your wallet spends its credits, or causes loss to the wallet, we are not liable.
- Credits are not transferable between wallets or accounts.
10. Refunds
You can request a refund within 14 days of the date of your purchase.
All sales are processed by Paddle.com Market Ltd. as the merchant of record, and refunds are issued by Paddle. To request a refund, contact us through the form on our website or contact Paddle directly using the link on your purchase receipt.
In line with Paddle's refund policy, credits that have already been spent on AI inference are not refundable. For full conditions, see Paddle's refund policy.
11. Taxes
Prices presented at checkout include any taxes Paddle determines to be applicable based on your location.
12. Acceptable use
You agree not to use Unium to:
- do anything unlawful, infringing, or harmful, or to help someone else do so;
- generate or distribute content that exploits or endangers minors, including sexualised content involving minors;
- generate or distribute content intended to harass, defame, or incite violence against any person or group;
- generate or distribute content that is deceptive in a way that causes harm, including impersonation, fraud, or interference with democratic processes;
- attempt to extract model weights, scrape the service, reverse engineer it, or use it to develop a competing AI service;
- circumvent any technical, rate, or wallet limit (including the limits in section 6), or attempt to do so;
- use Unium in violation of the usage policies of the underlying AI providers (such as OpenAI's, Anthropic's, or Google's usage policies).
We may suspend or terminate access for any breach of this section, with or without notice depending on the severity, in line with section 22.
13. Your content
You retain ownership of the content you submit to Unium. You grant Unium a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process your content solely for the purpose of operating and improving the service, including routing prompts to the model you have selected and displaying your shared chats to other members of those chats.
We do not use your conversations to train AI models. We inspect content only as described in section 4 of our Privacy Policy.
14. Group chats
Content posted in a shared chat is visible to every member of that chat. Closing your Unium account replaces messages and attachments you previously posted in shared chats with deletion notices so the other members can continue to understand the structure of the conversation without seeing your original message text or attachment metadata. Some technical, moderation, billing, and audit records may be retained as described in our Privacy Policy.
15. AI outputs
The responses Unium relays from AI models are generated by third-party systems. They can be inaccurate, incomplete, biased, or otherwise problematic. AI outputs are not professional advice and should not be relied on for legal, medical, financial, safety, or other consequential decisions. You are responsible for reviewing AI outputs before acting on them.
16. Third-party providers
Your use of certain models or features may also be subject to the terms and acceptable use policies of the underlying providers (such as OpenAI, Anthropic, Google, and the routing partners listed in our Privacy Policy). Where those policies impose additional restrictions, you agree to comply with them.
17. Availability and changes
We provide Unium on a best-effort basis. We do not offer an uptime guarantee or service-level agreement to consumer users. We may modify, suspend, or discontinue features at any time. Likewise, models, providers, routes, prices, context windows, rate limits, and capabilities may change, become unavailable, or be removed at any time, including because of third-party provider changes. Where we make material changes to the service, we will give reasonable notice in product or by email where it is practical to do so.
18. Security incidents
We take reasonable, industry-standard precautions to protect Unium and your account. To the maximum extent permitted by law, we are not liable for losses arising from unauthorised access, security incidents, or service downtime that occur despite those precautions.
19. Disclaimers
To the maximum extent permitted by applicable law, and reflecting in particular the beta status of Unium described in section 3, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
20. Limitation of liability
To the maximum extent permitted by applicable law:
- Neither party will be liable for indirect, consequential, incidental, special, exemplary, or punitive damages, or for loss of profits, revenue, business, data, or goodwill.
- Our aggregate liability to you arising out of or in connection with these terms or your use of Unium is limited to the greater of (a) the total amount paid by you through Paddle for Unium credits associated with your account in the twelve months immediately before the event giving rise to the claim, or (b) USD 50.
Nothing in these terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or your statutory rights as a consumer.
21. Your indemnity
You agree to indemnify and hold Uncertainty Works Ltd. and its officers, employees, and agents harmless from any claims, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these terms, your misuse of the service, or your violation of any law or the rights of a third party.
22. Suspension and termination
You may stop using Unium and close your account at any time from your account settings.
We may suspend or terminate your access to all or part of the service for material breach of these terms, suspected fraud or abuse, security or legal risk, or where we are required to do so by law. Where practical, we will give you notice and a chance to remedy the issue before suspending or terminating; immediate action is reserved for situations where waiting would cause real harm.
Closing your account does not extend the refund window in section 10.
23. Changes to these terms
We may update these terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be announced in product, by email, or both, and we will give a new "Effective" date that applies prospectively. Continued use of Unium after the new effective date constitutes acceptance of the updated terms. If you do not accept the updated terms, your remedy is to stop using the service, and, subject to section 10, your unused credits will remain in your wallet until they expire.
24. Governing law and disputes
These terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute arising out of or relating to these terms or your use of Unium.
Nothing in this section deprives you of the protection of the mandatory consumer-protection rules of the country where you reside. If you are a consumer in the European Economic Area or the United Kingdom, you may also have access to consumer dispute-resolution channels in your country.
25. Miscellaneous
- If any provision of these terms is held to be unenforceable, the rest of the terms remain in effect.
- Our failure to enforce a right under these terms is not a waiver of that right.
- You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets, on reasonable notice.
- These terms, together with our Privacy Policy and any policies referenced in product, are the entire agreement between you and Uncertainty Works Ltd. about Unium.
- Neither party is liable for failure to perform caused by events beyond its reasonable control.

27. iOS in-app purchases
Purchases made through the Unium iOS app are processed by Apple as merchant of record under Apple's Media Services Terms. For those purchases, Apple, not Paddle, handles checkout, billing, invoicing, and refunds. To request a refund for an iOS purchase, use Apple's "Report a Problem" flow at reportaproblem.apple.com. Where this section conflicts with sections 6 or 10, this section governs for iOS purchases. Purchases made through the Unium web app remain subject to sections 6 and 10 and are processed by Paddle.
Because Unium uses a credit model, we track credit delivery, balance, and consumption as a mandatory part of operating the service. For iOS purchases, we may share relevant purchase and credit-consumption information with Apple when Apple asks for it in connection with a refund request, including whether credits were delivered and what percentage of the purchased credits has been consumed. This sharing is mandatory for use of the iOS app because it lets Apple assess refund requests accurately and prevents refunded credits from being consumed unfairly. If you do not accept this mandatory processing and sharing, you must not use the iOS app and may delete your account at any time.
